Terms & Agreements

These Terms & Agreements (“Agreement”) set forth the legal terms between Agility Shipping and Logistics (“Company,” “we,” “our,” or “us”) and the Client (“you” or “your”) engaging our logistics, freight, customs, or transport services.

By using our services, requesting a quotation, or entering into a booking, you agree to be bound by the terms below.


1. Scope of Services

Agility Shipping and Logistics provides a range of logistics solutions, including but not limited to:

  • Air, Ocean, Road, and Rail Freight

  • Customs Clearance and Documentation

  • Warehousing and Distribution

  • Door-to-Door and Port-to-Port Delivery

  • Multi-Modal Transport Planning

All services are subject to availability, regulatory clearance, and the terms outlined in this agreement and the relevant service quotation.


2. Service Agreement & Booking

A shipment or logistics service is considered confirmed only when:

  • A formal quotation is accepted in writing

  • All required documentation has been submitted

  • Payment terms (deposit or full) have been met

  • A service confirmation is issued by Agility Logistics

Agility reserves the right to accept or reject service requests at its sole discretion.


3. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete shipment details

  • Ensure cargo complies with all export/import laws

  • Disclose hazardous, restricted, or sensitive materials

  • Pay all applicable charges, duties, and taxes

  • Cooperate with inspections, customs processes, and regulatory requests

Failure to comply may result in delays, legal liability, or service cancellation.


4. Cargo Acceptance & Handling

Agility Logistics may refuse to accept cargo that is:

  • Improperly packaged or labeled

  • Not declared in full

  • Prohibited by law or regulation

  • Deemed unsafe for transport

Once accepted, cargo is handled with care in accordance with industry standards. However, Agility is not liable for loss or damage arising from unforeseen events, third-party mishandling, or force majeure.


5. Customs and Compliance

Agility will provide customs clearance support but shall not be held responsible for:

  • Delays caused by customs inspections or legal disputes

  • Incorrect information provided by the client

  • Refused or confiscated goods due to regulatory issues

It is the client’s responsibility to ensure all documentation is complete and accurate.


6. Payment Terms

Unless otherwise stated, payments are due as follows:

  • Quoted Services: 50% deposit on confirmation, balance on delivery or prior to release

  • Credit Accounts: Net 7–30 days depending on agreement

  • Late Payments: May incur interest or suspension of services

Payment methods accepted include bank transfer, EFT, or other agreed methods listed in the invoice.


7. Insurance & Liability

Agility does not automatically insure shipments. Clients are advised to purchase cargo insurance independently or through our optional coverage.

Unless otherwise agreed, Agility’s liability is limited to:

  • The declared value of the shipment

  • Or compensation capped at the prevailing rate set by international freight conventions

We are not liable for indirect losses, including loss of profit, business interruption, or reputational damage.


8. Cancellations & Modifications

Service bookings may be modified or canceled with written notice. Cancellation fees may apply depending on the timing and services rendered.

No-shows, late modifications, or incomplete documentation may result in penalties.


9. Force Majeure

Agility shall not be liable for any delay or failure in performance due to acts beyond our control, including but not limited to:

  • Natural disasters, weather disruptions

  • Strikes or labor disputes

  • War, terrorism, or civil unrest

  • Regulatory or customs delays

  • Port closures or transport restrictions


10. Confidentiality

Both parties agree to maintain confidentiality on sensitive commercial or operational information shared during the course of service execution. This includes shipment data, pricing, client details, and proprietary procedures.


11. Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of:

  • The United Arab Emirates, for services originating in Dubai

  • The Republic of South Africa, for services originating in South Africa

Any disputes shall first be resolved through negotiation. If unresolved, both parties agree to submit to the exclusive jurisdiction of the appropriate courts in the respective country of operation.


12. Amendments

Agility Logistics reserves the right to update or modify these Terms & Agreements at any time. Any changes will be posted on our website and will become effective immediately upon publication.
